Terms & Conditions
The terms for this website and for our services. Every paid engagement is governed first by its own signed scope.
Last updated: 22 September 2026
These terms cover two things: your use of this website, and — where no separate signed agreement says otherwise — the services we provide. Every paid engagement is governed first by its own written scope or agreement (the “Scope”). Where the Scope and these terms disagree, the Scope wins.
1. Using this website
You may read, print and share these pages for your own business purposes. Please do not copy the content to present as your own, attempt to disrupt or gain unauthorised access to the site, or use it unlawfully. Service descriptions here are summaries, not specifications, and timelines such as “2 – 4 weeks” describe typical engagements rather than commitments. Nothing on this website is an offer, a quote, or professional advice for your situation.
2. How an engagement starts
Sending an enquiry does not create a contract. We reply, and if the work looks like a fit we issue a written Scope setting out what we will take on, what stays with you, how it will be measured, the fees, and the start date. Work begins when both sides agree that Scope in writing.
3. What we provide
Our services include business process outsourcing, software and technology development, digital reputation management, bookkeeping and accounting support, customer support and call-centre coverage, data entry and back-office work, QA and testing, and digital marketing and SEO. Each engagement runs in one of three shapes — a dedicated team, a fixed-scope project, or part-time and shared cover — as recorded in the Scope.
Our team is available 24/7. The specific hours, shifts, response times and any service levels that apply to your engagement are those written in your Scope; general statements on this website about availability are not by themselves a service-level commitment.
We provide bookkeeping and accounting support. We are not your auditor or tax adviser, we do not sign off statutory accounts or file returns on your behalf unless the Scope expressly says so, and your accountant remains responsible for those. Likewise, our reputation work does not include writing or procuring fake reviews, and our marketing work does not guarantee any particular ranking, traffic or conversion outcome.
4. Your responsibilities
- Give us accurate information, timely decisions, and the access we need to do the work.
- Make sure you are entitled to give us access to any system or data you ask us to work on, and that any personal data you pass to us was collected lawfully and may be processed by us for the agreed purpose.
- Keep your own licences, subscriptions and ad budgets current — these are paid by you directly to the relevant vendor or platform unless the Scope says otherwise.
- Nominate someone who can answer questions and approve work.
5. Fees, invoicing and payment
Fees, currency, billing cycle and payment terms are set in the Scope. Unless it states otherwise, invoices are payable within 15 days of the invoice date, and fees exclude taxes and duties, which are your responsibility. Out-of-pocket costs agreed in advance are charged at cost. If an invoice is significantly overdue, we may pause work after giving you written notice, and we will tell you before we do.
6. Changes to scope
Either side can propose a change. A change that affects effort, timeline or price is confirmed in writing before we act on it. We will not quietly absorb extra work and bill you for it later, and we will not silently drop something you asked for.
7. Confidentiality
Each side keeps the other’s confidential information confidential, uses it only for the engagement, and discloses it only to staff who need it and are bound by equivalent obligations. This continues after the engagement ends. We will sign your NDA, or provide ours, before scoping. We will not name you as a client publicly without your permission.
8. Data protection
Where we handle personal data on your behalf, we act on your documented instructions, limit access to assigned staff, and return or delete the data at the end of the engagement as you instruct. Our Privacy Policy and Data Deletion Policy explain this in full, and we will sign a data-processing agreement where you need one. You remain responsible for the lawfulness of the data you give us and of the instructions you give.
9. Intellectual property
You keep everything you already own: your data, your systems, your brand, and the materials you give us. Work product created specifically for you under a Scope becomes yours once the related fees are paid in full. We keep ownership of our own pre-existing tools, templates, know-how and general methods, and of the ProQAWays name, logo and this website; where our pre-existing material is embedded in your deliverable, you get a perpetual, non-exclusive licence to use it as part of that deliverable. Process documentation we write for your engagement is yours to keep, during and after it.
10. Staff and non-solicitation
We remain the employer of our staff and are responsible for their pay, supervision and conduct. We may use vetted subcontractors where the work calls for it, and we remain responsible for their work. During an engagement and for 12 months afterwards, neither side will solicit or hire the other’s personnel involved in the engagement without written consent — unless the Scope agrees a transition or hire-out arrangement.
11. Warranties and disclaimers
We will perform the services with reasonable skill and care, by suitably trained people, in line with the Scope. If work does not meet that standard and you tell us within 30 days, we will re-perform it at no extra charge — that is your primary remedy. Apart from that, and to the extent the law permits, the services and this website are provided without other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. We do not warrant uninterrupted or error-free operation of software, platforms or third-party services outside our control.
12. Limitation of liability
Neither side is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill, anticipated savings or data, however caused. Except for a party’s breach of confidentiality, our indemnity below, your obligation to pay fees, and liability that cannot lawfully be limited (including fraud, wilful misconduct, and death or personal injury caused by negligence), each side’s total liability arising from an engagement is capped at the fees paid and payable under that Scope in the 6 months before the event giving rise to the claim.
13. Indemnity
You will indemnify us against claims arising from data or materials you give us, or instructions you give us, that infringe a third party’s rights or breach applicable law. We will indemnify you against third-party claims that our own pre-existing materials, as supplied by us, infringe their intellectual property rights.
14. Term, termination and handover
Ongoing engagements continue until either side gives the written notice stated in the Scope — 30 days if the Scope is silent. Project engagements end on completion and acceptance. Either side may terminate immediately for material breach that is not fixed within 15 days of written notice, or on the other’s insolvency. On termination you pay for work performed up to that date; we hand over your data, accounts and process documentation, and delete or return the rest as you instruct. We will not hold your data hostage over a commercial dispute.
15. Force majeure
Neither side is liable for delay or failure caused by events beyond reasonable control — including power or internet failure, natural disaster, epidemic, civil unrest, or government action. Where we are affected, we will tell you promptly and use our continuity arrangements to keep critical work running.
16. General
Neither side may assign an engagement without the other’s written consent, except to a successor of its business. If a clause is held unenforceable, the rest continues. A delay in enforcing a right does not waive it. Notices are given in writing to the addresses in the Scope or to info@proqaways.com. The Scope, these terms and the policies they reference are the whole agreement between us on their subject matter. We are independent contractors; nothing here creates a partnership, joint venture or employment relationship.
17. Governing law and disputes
These terms and each engagement are governed by the laws of Pakistan. We will try to resolve any dispute by discussion between senior representatives first; failing that, the courts of Karachi have exclusive jurisdiction.
18. Changes
We may update these terms; the version on this page applies to website use. For a live engagement, changes take effect only when agreed in writing or on 30 days’ notice to you.
